These Terms & Conditions ("Terms") govern your access to and use of the website operated by Synthesis Syndicate LLC ("Synthesis Syndicate," "we," "us," or "our"), including its pages, content, forms, and other functionality (collectively, the "Site").

By accessing or using the Site, you agree to these Terms. If you do not agree to these Terms, please do not use the Site.

1. About Synthesis Syndicate

Synthesis Syndicate provides technology, design, development, automation, integration, artificial intelligence, and related consulting and advisory services.

Our work may include, among other things:

  • website design and development;
  • systems and platform integrations;
  • CRM, scheduling, email, and workflow integrations;
  • automation and AI-enabled workflows;
  • custom technical solutions;
  • hosting and deployment;
  • technical advisory and consulting; and
  • related design, development, and implementation services.

Descriptions on the Site are intended to explain the types of services and solutions we offer. They do not constitute a binding offer to perform any particular service or project.

2. Inquiries and Client Engagements

Submitting a contact form, scheduling or participating in a discovery call, requesting information, receiving a Proposal or Statement of Work ("SOW"), or otherwise communicating with Synthesis Syndicate does not, by itself, create a client relationship or obligate either party to proceed with an engagement.

A client engagement is created only when Synthesis Syndicate and the client enter into an applicable Service Agreement.

A Proposal or SOW may describe the anticipated scope, deliverables, pricing, schedule, responsibilities, or other details of a proposed engagement. Once incorporated into or otherwise made part of an executed Service Agreement, those documents will govern the applicable project as provided in that agreement.

If these Terms conflict with an executed Service Agreement concerning services performed for a client, the Service Agreement controls with respect to those services.

3. Service Descriptions and Deliverables

The Site may describe particular services, packages, capabilities, deliverables, processes, or examples of work that Synthesis Syndicate can provide.

These descriptions represent the types of services and deliverables we offer, but the exact scope of any engagement will depend on the needs of the particular project and will be established through the applicable Proposal, SOW, and Service Agreement.

Unless expressly included in an executed Service Agreement, information appearing on the Site does not create an obligation to provide any particular feature, integration, deliverable, platform, technology, level of support, or other service.

4. Project Timelines

Any turnaround time, launch period, completion estimate, or similar timeline stated on the Site is a target and not an unconditional guarantee.

Project timelines depend on factors that may include timely receipt of required information, content, assets, credentials, system access, approvals, decisions, feedback, and other cooperation from the client.

For example, where the Site describes a target of launching a website within one week, that target assumes that Synthesis Syndicate receives the materials, access, information, feedback, and approvals reasonably necessary to complete the work on that schedule.

Delays in receiving required items or communications may result in corresponding project delays.

Specific schedules and deadlines for a client engagement are governed by the applicable Service Agreement and any incorporated Proposal or SOW.

5. Hosting and Deployment

Certain services may include an initial period of hosting as part of the applicable offering. Where hosting is included, the applicable Proposal, SOW, or Service Agreement will identify the hosting period and any services included with it.

Where an offering includes three months of hosting, the client may, following that period:

  • continue hosting through Synthesis Syndicate under a separate or continuing arrangement;
  • move the website or application to another hosting provider or platform; or
  • arrange for Synthesis Syndicate to assist with migration to another provider or platform.

Migration, configuration, deployment, or other work required to move a project to another hosting environment is not included unless expressly stated otherwise and may be subject to additional fees.

Where applicable, clients who have received the underlying project code may also choose to handle migration or deployment themselves.

6. Third-Party Products and Services

Our services may involve or integrate with third-party products and services, including hosting providers, domain registrars, CRM platforms, scheduling systems, email providers, automation platforms, APIs, software libraries, artificial intelligence models, and other technology platforms.

Unless expressly stated otherwise in an applicable Service Agreement, the client is responsible for maintaining and paying for third-party products, subscriptions, licenses, usage charges, accounts, and services used in connection with the client's project.

This applies whether the third-party service is obtained directly by the client or provisioned or administered through Synthesis Syndicate, including services provided through client or sub-accounts.

Third-party products and services are governed by their respective providers' terms, policies, availability, pricing, functionality, and technical requirements.

Synthesis Syndicate does not control third-party providers and is not responsible for outages, interruptions, changes in functionality, discontinued services, pricing changes, policy changes, API changes, security incidents, or other actions or omissions of third-party providers.

7. Client Project Intellectual Property

Intellectual-property rights relating to work performed for a client, including ownership of project deliverables and any licenses retained or granted by the parties, are governed by the applicable Service Agreement.

Those agreements may distinguish between:

  • final deliverables created for the client; and
  • pre-existing or reusable tools, libraries, templates, components, frameworks, workflows, methods, processes, code, systems, or other materials used or developed by Synthesis Syndicate in connection with providing its services.

Nothing in these website Terms independently transfers ownership of intellectual property created as part of a client engagement.

8. Information You Provide

You agree that information you provide through the Site is accurate to the best of your knowledge and that you have the right to provide it to us.

Information submitted through our contact forms or otherwise provided in connection with an inquiry may be used to respond to your inquiry, evaluate a potential engagement, communicate with you, and for the other purposes described in our Privacy Policy.

You should not send passwords, authentication credentials, private keys, or other security-sensitive access information through a general website contact form unless Synthesis Syndicate specifically instructs you to do so.

9. Confidentiality of Inquiries

Synthesis Syndicate treats non-public information provided in connection with prospective and existing client relationships as confidential in the ordinary course of our business and does not intend to disclose that information to other clients or unrelated third parties.

We may disclose or use information where reasonably necessary to operate our business, evaluate or provide requested services, work with service providers, comply with applicable law, protect our rights or systems, or as otherwise described in our Privacy Policy.

Submitting information through the Site or participating in preliminary discussions does not, by itself, create a separate nondisclosure agreement or other specialized confidentiality agreement.

If particular information requires contractual confidentiality protections beyond those described here, those protections may be addressed separately in writing.

10. Privacy

Our collection, use, storage, and handling of personal information through the Site are described in our Privacy Policy.

The Privacy Policy should be read together with these Terms.

11. Website Intellectual Property

Except for materials owned by third parties or otherwise identified, the Site and its contents are owned by or licensed to Synthesis Syndicate.

This includes, as applicable, the Site's text, graphics, design, layout, branding, logos, illustrations, software, code, and other materials.

You may access and use the Site for ordinary informational purposes.

Unless permitted by applicable law or authorized by Synthesis Syndicate, you may not reproduce, republish, distribute, sell, license, modify, create derivative works from, commercially exploit, or otherwise use Site content outside the ordinary use of the Site.

Nothing in these Terms grants you ownership of any Synthesis Syndicate name, logo, trademark, service mark, branding, or other intellectual property.

12. Acceptable Use

You may not use the Site in a manner that:

  • violates applicable law;
  • interferes with or disrupts the operation or security of the Site or related systems;
  • attempts to obtain unauthorized access to systems, accounts, networks, or data;
  • introduces malware, malicious code, or other harmful material;
  • attempts to circumvent security or access controls;
  • impersonates another person or entity;
  • infringes the intellectual-property, privacy, or other rights of another person; or
  • uses automated or other means to access the Site in a manner that materially interferes with its normal operation.

We may restrict or block access to the Site when reasonably necessary to protect the Site, our systems, Synthesis Syndicate, or others.

13. Informational Content

Content available through the Site is provided for general informational and marketing purposes.

Website content does not constitute legal, tax, accounting, investment, financial, or other regulated professional advice.

Information presented on the Site may not reflect the circumstances or requirements of a particular business, individual, system, or project.

Where specialized professional advice is required, you are responsible for consulting an appropriately qualified professional.

14. External Links and Resources

The Site may include links to websites, applications, platforms, resources, or services operated by third parties.

These links may be provided for convenience, reference, attribution, or to facilitate access to third-party services.

Synthesis Syndicate does not control third-party sites or resources and is not responsible for their content, availability, security, privacy practices, products, services, or conduct.

The presence of a link does not necessarily constitute an endorsement of the third party or everything available through the linked resource.

15. Disclaimer of Warranties

THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, AND FUNCTIONALITY AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNTHESIS SYNDICATE DISCLAIMS ALL WARRANTIES RELATING TO THE SITE, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, AND ERROR-FREE OPERATION.

Synthesis Syndicate does not warrant that:

  • the Site will be continuously available or uninterrupted;
  • the Site or its content will be free from errors or omissions;
  • information on the Site will always be current, complete, or accurate;
  • defects or errors will be corrected;
  • the Site will be compatible with every device, browser, system, or configuration; or
  • the Site or systems through which it is made available will be free from viruses, malicious code, or other harmful components.

Descriptions of services, capabilities, processes, deliverables, schedules, or potential outcomes appearing on the Site do not constitute warranties or guarantees concerning any particular client engagement.

Any warranties or commitments applicable to services actually provided by Synthesis Syndicate are governed exclusively by the applicable Service Agreement.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNTHESIS SYNDICATE LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS WILL HAVE NO LIABILITY ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, RELIANCE ON, OR INABILITY TO USE THE SITE OR ANY INFORMATION, CONTENT, MATERIALS, LINKS, OR FUNCTIONALITY AVAILABLE THROUGH IT.

THIS LIMITATION APPLIES TO ANY LOSS, DAMAGE, CLAIM, LIABILITY, COST, OR EXPENSE OF ANY KIND, WHETHER DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHERWISE, AND REGARDLESS OF THE THEORY OF LIABILITY OR WHETHER THE POSSIBILITY OF SUCH LOSS OR DAMAGE WAS FORESEEABLE.

You access and use the Site at your own risk.

This limitation applies only to the Site and its use. It does not establish or govern the liability of Synthesis Syndicate in connection with services performed under a Service Agreement.

Any warranties, obligations, remedies, limitations of liability, or allocation of risk relating to a client engagement will be governed by the applicable Service Agreement.

Nothing in these Terms excludes or limits any liability or legal right that cannot lawfully be excluded or limited.

17. Changes to the Site

Synthesis Syndicate may modify, update, suspend, discontinue, remove, or change any part of the Site, its content, or its functionality at any time.

We are not obligated to maintain any particular page, feature, service description, content, or functionality on the Site.

Changes to the Site do not modify an existing Service Agreement unless the parties separately agree to that modification as provided in the applicable agreement.

18. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Site, our practices, or applicable requirements.

When these Terms are updated, the revised version will be posted on the Site and the "Last Updated" date will be changed.

Revised Terms will apply prospectively from the date they become effective. Where applicable law requires additional notice or consent for a particular change, we will provide it as required.

Continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

19. Governing Law and Venue

These Terms and any dispute arising from or relating specifically to the Site or your use of it are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law principles.

Any legal action arising from or relating to these Terms or use of the Site must be brought in a court of competent jurisdiction located in Massachusetts, except where applicable law requires otherwise.

The governing-law and dispute provisions applicable to a client engagement may be addressed separately in the applicable Service Agreement.

20. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, where necessary, severed from these Terms.

The remaining provisions will remain in full force and effect.

21. No Waiver

A failure or delay by Synthesis Syndicate in exercising or enforcing any right or provision under these Terms does not constitute a waiver of that right or provision.

A waiver of one provision or instance does not constitute a continuing waiver or a waiver of any other provision.

22. Entire Agreement Regarding Website Use

These Terms, together with the Privacy Policy and any other policies expressly incorporated into them, constitute the agreement between you and Synthesis Syndicate concerning your use of the Site.

They do not replace, amend, or constitute the Service Agreement governing a client engagement.
